Le Prix d’Art Elembo Ya Sika (la « Compétition ») est organisé par AFRICELL RDC S.A., une société à responsabilité limitée régie par les lois de la République Démocratique du Congo, immatriculée sous le numéro 01-H5300-N50291A, dont le siège social est situé au 25 Avenue de la Justice, Gombe, Kinshasa, République Démocratique du Congo (désignée comme la Fondation Africell Impact), et la FONDATION DEFISE, domiciliée à Upper Deck Admirals, KTZ 0XA, Thames Ditton, Royaume-Uni, enregistrée auprès de Companies House pour l’Angleterre et le Pays de Galles sous le numéro d’enregistrement 16112809 (ensemble avec la Fondation Africell Impact, les « Organisateurs »).
En contrepartie de l’acceptation de votre candidature à la Compétition par les Organisateurs, vous acceptez, en participant à la Compétition, les présents termes et conditions (les « Termes et Conditions ») qui constitueront un contrat contraignant entre vous et les Organisateurs. Conditions de participation
La Compétition est ouverte à toute personne qui :
● se définit elle-même comme un·e artiste visuel·le ;
● réside à Kinshasa, République Démocratique du Congo ;
● n’est pas et n’a jamais été représenté·e par une galerie commerciale ;
● n’a jamais participé à une résidence artistique, quel que soit le pays ;
● n’a jamais eu d’exposition personnelle en dehors de Kinshasa, République Démocratique du Congo ;
● est âgée de 18 ans ou plus à la date du 23 novembre 2025 ;
● est disponible pour assister à la cérémonie de remise des prix à Kinshasa, République Démocratique du Congo, en février 2026 (la «Cérémonie de Remise des Prix »).
En participant à la Compétition, vous confirmez que vous remplissez toutes les conditions d’éligibilité et que vous êtes apte à recevoir le prix. Les Organisateurs peuvent vous demander de fournir une preuve de votre éligibilité.
● Une seule participation par personne est autorisée.
● La participation est gratuite.
● Les Organisateurs se réservent le droit de disqualifier toute personne ne respectant pas les présentes conditions ou adoptant un comportement contraire à l’esprit ou à l’intention de la Compétition.
Comment participer
Pour participer, envoyez votre candidature par e-mail à prize@elemboyasika.com au plus tard à 20h00 (heure normale d’Afrique de l’Ouest) le 23 novembre 2026. Tous les documents doivent être envoyés dans un seul e-mail.
● Les candidatures envoyées après l’échéance ne seront pas acceptées.
● Veuillez consulter la section « Ce qui est requis pour la candidature » sur le site web de la Fondation Defise pour connaître les éléments à inclure dans votre dossier.
● Les Organisateurs ne sauraient être tenus responsables des candidatures incomplètes, incorrectes ou non reçues, quelle qu’en soit la cause (p. ex. défaillance technique, panne de réseau, erreur de serveur, etc.).
Propriété
En participant et/ou en soumettant du matériel, vous confirmez que l’ensemble de la candidature est votre création originale et qu’elle n’a pas été copiée.
● Aucun document ne sera retourné.
● Sauf accord exprès, les Organisateurs ne revendiquent aucun droit de propriété sur votre candidature. Vous conservez la propriété intellectuelle, mais vous acceptez que nous puissions utiliser, publier, transmettre, copier, modifier et concéder des sous-licences sur tout élément soumis dans le cadre de votre candidature à des fins professionnelles.
● Vous garantissez que votre dossier n’enfreint aucun droit de propriété intellectuelle, de confidentialité, ou autre droit d’un tiers, et qu’il ne contient aucun propos diffamatoire, obscène, injurieux ou menaçant.
Candidats présélectionnés et Lauréats
● Un total de 15 candidats seront présélectionnés (les « Candidats Présélectionnés »).
● Chaque Candidat Présélectionné recevra un e-mail de sélection autour du 31 janvier 2026, et devra y répondre dans les 5 jours ouvrables pour confirmer son acceptation.
● En cas de non-réponse, vous ne serez pas considéré comme Candidat Présélectionné et les Organisateurs pourront réduire le nombre total de sélectionnés.
● Les Candidats Présélectionnés peuvent recevoir le prix si un Lauréat renonce à son prix conformément aux sections 16 à 19 ci-dessus, auquel cas le terme « Lauréat » désignera ce Candidat Présélectionné.
● Trois Lauréats seront sélectionnés parmi les Candidats Présélectionnés (les « Lauréats »).
● Les modalités d’annonce des Lauréats et d’acceptation du prix seront précisées dans les e-mails de sélection.
● Les Organisateurs ne sont pas tenus d’informer les non-sélectionnés et n’entreront en aucun cas en discussion concernant les décisions ou statuts des candidatures rejetées.
Le Prix
● La décision des Organisateurs est définitive concernant tous les aspects du prix.
● Chaque Lauréat recevra l’équivalent de 2 000 GBP en matériel de la marque Winsor & Newton, à choisir à partir d’une liste fournie.
● Aucun versement en espèces ne sera effectué. Le prix n’est ni échangeable, ni transférable, et aucun équivalent en espèces ne sera proposé.
● Les Organisateurs se réservent le droit de modifier ou remplacer le prix si les circonstances l’exigent.
● Ils peuvent aussi annuler, suspendre ou modifier la Compétition à tout moment si nécessaire.
Obligations des Lauréats
Chaque Lauréat s’engage à :
● assister à la Cérémonie de Remise des Prix ;
● être disponible, sur demande raisonnable des Organisateurs, pour promouvoir la Compétition (interviews sur Afriradio, apparitions sur les réseaux sociaux, etc.) ;
● participer à toutes les sessions de mentorat, avec ponctualité, attention et engagement ;
● participer à 2 réunions virtuelles de suivi pour informer les Organisateurs de l’évolution de leur travail.
○ La première réunion aura lieu trois mois après réception du matériel
○ La deuxième réunion aura lieu trois mois après la première.
La présence à la Cérémonie de Remise des Prix est obligatoire pour recevoir le prix. Les Organisateurs ne prendront aucun frais à leur charge pour la participation à cet événement.
Le non-respect de ces engagements peut entraîner la disqualification.
Limitation de responsabilité
Dans la limite permise par la loi, aucun Organisateur ni aucun agent ou distributeur ne pourra être tenu responsable de pertes, dommages, blessures ou décès survenus suite à la participation ou à l’acceptation du prix, sauf en cas de négligence directe.
● La responsabilité est individuelle (non conjointe) entre les Organisateurs.
● Aucune clause des présentes Conditions ne saurait limiter ou exclure vos droits légaux.
Protection des données et promotion
En participant à la Compétition, vous acceptez que vos données personnelles soient utilisées pour l’administration du concours.
Chaque Organisateur (ou ses tiers autorisés) peut publier votre candidature dans ses publications, sur son site internet et sur d’autres supports actuels ou futurs.
Vous accordez aux Organisateurs une licence mondiale, gratuite, non exclusive, irrévocable, pour utiliser, modifier, reproduire, afficher, distribuer, etc. votre candidature à des fins promotionnelles.
Les Organisateurs peuvent publier des informations attestant de la remise d’un prix, telles que votre nom, biographie, ville/région de résidence, etc., sur tout support papier, en ligne ou autre.
La Fondation Africell Impact s’engage à protéger votre vie privée conformément à sa politique de confidentialité disponible sur son site.
Général
Toute expression comme « y compris », « notamment », « par exemple », etc., doit être interprétée à titre illustratif uniquement et ne limite pas le sens général des termes précédents.
Loi applicable
La Compétition est régie par le droit anglais, et les participants acceptent la compétence exclusive des tribunaux anglais.
Les Organisateurs se réservent le droit de mettre à jour les présentes Conditions, et toute version mise à jour sera effective dès sa publication sur le site web.

TERMS & CONDITIONS
1. The Elembo Ya Sika Art Prize (the “Competition”) is organised by AFRICELL RDC S.A. a limited liability company organised under the laws of the Democratic Republic of Congo, with registered no. 01-H5300-N50291A, whose registered office is at 25 Avenue de la Justice, Gombe, Kinshasa, the Democratic Republic of Congo (referred to as the “Africell Impact Foundation”) and the DEFISE FOUNDATION of Upper Deck Admirals, KTZ 0XA, Thames Ditton, United Kingdom, registered with Companies House for England and Wales under Company Number 16112809 (together with the Africell Impact Foundation, the “Promoters”)
2. In consideration of the Promoters agreeing to consider your application to the Competition, by entering the Competition you hereby agree to these terms and conditions (the “Terms and Conditions”) which shall constitute a binding contract between you and the Promoters. Eligibility to enter
3. The Competition is open to anybody who:
● self-defines as a visual artist;
● lives in Kinshasa, Democratic Republic of Congo;
● is not now and has not previously been represented by a commercial gallery;
● has not participated in an artist residency in any jurisdiction;
● has not had a solo exhibition in any location other than Kinshasa, Democratic Republic of Congo;
● is, or will be as at 23 November 2025, aged 18 and over; and
● is available to attend the prize giving ceremony in Kinshasa, Democratic Republic of Congo in February 2026 (the “Prize Giving Ceremony”).
4. In entering the Competition, you confirm that you are eligible to do so and eligible to claim any prize you may win. The Promotors may require you to provide proof that you are eligible to enter the Competition.
5. Only one entry per person is permitted.

Shortlisted candidates and Winners

Each Shortlisted Candidates will receive an email on or around 31 January 2026 stating that they have been selected as a Shortlisted Candidate (the “Selection Email”) and will be required to respond by email confirming acceptance of the prize within 5 Business Days of the Selection Email being sent.
18. Failure to respond to the Selection Email will mean that you will not be a Shortlisted Candidate, and the total number of Shortlisted Candidates may be reduced accordingly (at the Promoter’s sole discretion).

The Shortlisted Candidates will form the pool of runners-up and may be offered the prize if a Winner forfeits their prize for any reason in accordance with sections 16 to 19 above, in which case references to “Winner” in these Terms and Conditions shall be a reference to that Shortlisted Candidate.

The Prize

24. An amount equal to GBP 2,000 to be used for a selection of Winsor & Newton materials of the Winner’s choosing, to be selected from a material list that will be provided to the Winners.
25. The prize does not include a cash award and no cash will be provided to any Winner in connection with the Competition.
26. The prize is non-exchangeable, non-transferable and no cash alternative is offered. The Promoters reserve the right to replace the prize or any aspect of the prize with an alternative prize if circumstances beyond the Promoter’s control makes it necessary to do so.

Obligations of the Winners

d. attend 2 virtual meetings to update the Promoters on progress, detailing how the prize has supported their work and how their initial intentions have been put into practice. The first meeting will be on the date falling three months after that Winner has received the materials (the “First Meeting”) and the second will be the date falling three months after the First Meeting.
29. Attendance at the Prize Giving Ceremony is mandatory for all Winners as a condition of receiving their prize. However, the Promoters shall not in any circumstances be responsible or liable for any costs, expenses, or arrangements relating to a Winner’s attendance at the Prize Giving Ceremony.
30. Failure by any Winner to comply with these obligations may result in a breach of these Terms and Conditions.
Limitation of liability
